На пути к корпоративному управлению

Abstract

In the article analyzes the characteristics and ways of improving the quality of corporate governance in companies operating in emerging markets. Special attention is paid to corporate governance in companies with dominant state ownership. Also reveals the main directions of improving corporate governance in these companies, among them: the search for the optimal balance between the responsibilities of the state to serve as the owner and controller functions, increasing the effectiveness and relevance of the board of directors, the interests of minority shareholders and increase the professionalism of the independent directors. To illustrate the trends in the development of corporate governance in the Republic of Belarus treated the process of building a system of corporate governance in Belarusbank. In conclusion, noted that the introduction of an end in itself practice standards of corporate governance in the companies should not be the presence of all or substantially all of the components of the international practice. The introduction of elements of corporate governance should take into account the characteristics of the scope of the company’s, business strategy, stage of development and forms of financing investment. About Belarusian practice noted that international standards of corporate governance at times formally introduced. The decision on the need to develop corporate governance is often not initiated by the company’s management, but initiated by regulatory agencies. = Анализируются особенности и пути повышения качества корпоративного управления в компаниях, функционирующих в странах с развивающимися рынками. Особое внимание уделяется внедрению системы корпоративного управления и ее совершенствованию в компаниях с доминирующим участием государства. Раскрываются основные направления совершенствования корпоративного управления в указанных компаниях, среди которых поиск оптимального соотношения между обязанностями государства выполнять функции собственника и функции регулятора; повышение эффективности совета директоров и его значимости; учет интересов миноритарных акционеров и повышение профессионализма независимых директоров. Для иллюстрации тенденций развития корпоративного управления в Республике Беларусь рассматривается процесс построения системы корпоративного управления в ОАО «АСБ Беларусбанк». Отмечается, что самоцелью практики внедрения стандартов корпоративного управления в компаниях не должно являться наличие всех или почти всех компонентов международной практики. Внедрение элементов корпоративного управления должно учитывать особенности сферы бизнеса компании, стадию и стратегию ее развития, а также формы финансирования инвестиций. Подчеркивается, что международные стандарты корпоративного управления порой внедряются формально, а решения о необходимости развития корпоративного управления часто инициируются не менеджментом компании, а регулирующими органами.
